Establishing a Dutch
company in 6 steps
Establishing a Dutch company structure is not an everyday occurrence. That is why we provide a clear roadmap, so you know exactly what to expect. Below you can see how we guide you step by step.
We start with a personal meeting to discuss your plans, goals and wishes. We look at your current situation, potential risks and how you see the future. This gives us a complete overview of your situation.
Based on your situation, we advise you on the most suitable Dutch bv structure. Will it be a single operating company or is a Dutch holding structure with multiple bvs better? We take tax and legal aspects into account, so that you know what to expect.
After determining the structure, we prepare the required documents. These include the shareholders' agreement, management agreements and other legal documents. We tailor these to your situation and ensure that everything is correctly documented.
We will contact the notary to draft the deed of incorporation and officially establish the Dutch company (bv). You don't have to sort out any paperwork or make any appointments yourself; we will take care of everything for you.
Once your Dutch company (bv) is officially established, we will ensure that it is correctly registered with the Chamber of Commerce. We will also register the bv with the Dutch Tax Authorities for VAT and payroll taxes (if necessary).
After incorporation, we set up the administration and ensure that all tax obligations are complied with. We tailor everything to your way of working, so that you can make a good start with your new company right away.

Advice on the appropriate Dutch company structure
Tax benefits and risk mitigation
Setting up a Dutch bv may seem simple, but there is more to it than you might think. Should you opt for a single operating bv, or would it be wise to set up a holding structure with a holding bv and an operating company underneath it? The right choice depends on your ambitions, risks, financial situation, and future plans. Our team will work with you to determine which Dutch company structure best suits your business. We will help you consider the tax benefits, limit risks, and create flexibility for future growth or sale.
From idea to notarial incorporation
Once the structure has been determined, we also guide you through the practical steps. We handle communication with the notary, draw up the necessary documents such as the deed of incorporation and the register of shareholders, and ensure correct registration with the Chamber of Commerce. In addition, we coordinate the incorporation with the Tax Authorities, so that your Dutch company is well organized from a fiscal and accounting point of view from day one.

FAQ about starting a business in the Netherlands
Find answers to the most frequently asked questions about setting up a bv in the Netherlands
A bv is a legal entity with limited liability. A bv also stands for private limited company with limited liability. The term “besloten” means that it involves a fixed group of shareholders. Within the bv, the capital is divided into shares. We also wrote an extensive blog about Besloten vennootschap (bv) in the Netherlands.
A holding company structure is a Dutch business structure in which you have two or more bvs:
Holding (bv) company: the parent company that owns the shares of one or more operating companies. The holding company often holds your assets, profits and property.
Operating company (working company): the company in which day-to-day business activities take place and the entrepreneurial risk lies.
In our blog “Holding company: what is it and what are the benefits?”, we explain the Dutch holding structure in detail.
Setting up a bv can be done quite fast, but the exact processing time varies depending on the situation. Factors such as the structure, the speed of the notary, and the speed of providing the correct information all influence the time it takes to set up a business in the Netherlands.
The costs of establishing a company in the Netherlands depend greatly on the structure you choose and your requirements in terms of organization.
What determines the price?
A simple bv (one working bv, one shareholder) is cheaper than a holding structure or multiple bvs at the same time.
Requirements for structure: special articles of association, deviating agreements between shareholders, multiple share structures or voting rights make the deed more complex.
We have written an extensive blog about 'taxes for a bv in the Nederlands'. Read more about it there.
Yes, that is certainly possible. The turning point in 2025 is approximately €80,000 profit per year. How you convert a sole proprietorship or general partnership into a Dutch bv differs per company. We are happy to advise and assist you with this.
